Collaboration and governance
There is a clear move towards more intensive forms of collaboration within the healthcare sector. This is driven by the need for economies of scale, staff exchange programmes, and efforts to achieve the benefits of efficiency and large-scale operation along with a healthier financial foundation. In addition, compliance and governance within the healthcare sector are subject to constantly amended legislation and regulations. This poses new challenges for directors and regulators of healthcare institutions, their sectoral associations and professional bodies with regard to their managerial dynamics.
Collaboration and mergers within the healthcare sector
Healthcare institutions are confronted with a variety of legal and tax issues, when designing and structuring collaborative relationships within the sector. Dirkzwager’s specialists offer advice on partnerships within the healthcare sector, arrange the notarial incorporation of such collaborative ventures and support their legal and tax implementation. Based on our extensive experience within the healthcare sector, we can provide assistance during the entire process for the purposes of:
- selecting a suitable organisational structure;
- establishing the governance structure (administration, oversight and staff representation);
- obtaining approval from the Dutch Healthcare Authority (NZa) and the Netherlands Authority for Consumers and Markets (ACM);
- complying with the requisite licences, permits and accreditations;
- setting up an optimal tax structure;
- complying with sector-specific data exchange rules;
- understanding the implications for staff;
- complying with the regulations governing the valorisation of new knowledge, technologies or inventions.
Continuity of care starts with good governance
The implementation of a professional governance structure requires an in-depth knowledge of the healthcare sector and practical experience given the complexity of healthcare institutions, the sector-specific legislation and regulations governing them, and the oversight to which they are subject. Attention is increasingly being devoted to their administrative structure. Administrative responsibility within the healthcare sector compels administrators to act transparently and with integrity, arrange professional oversight and proactively render account to various stakeholders. This requires competent and committed supervisors who simultaneously protect their independence.
